Wrong activity
A licence can look inexpensive until the activity does not cover what you actually sell or requires extra approvals later.
Company formation is not just a licence. We map the activity, market, ownership, visa, workspace and operating requirements first — then structure the setup around what the business actually needs to do.
The right setup depends on how you will earn, where you will trade, who needs residency, what premises are required and which authorities touch the activity.
A licence can look inexpensive until the activity does not cover what you actually sell or requires extra approvals later.
Mainland and free-zone options can solve different operating needs. The cheapest package is not automatically the best business route.
Founder, employee and family residency needs should be considered before choosing a package, office solution or quota.
Banking readiness, tax registration, customs, premises and ongoing PRO work can matter as much as incorporation itself.
This is an orientation tool, not a legal determination. Your activity and authority requirements still need to be verified before filing.
Choose the closest fit. The exact licensed activity will be verified later.
Think about customers, contracts and where the company needs to operate.
Visa capacity and team plans can influence the practical setup.
Some activities and visa plans require specific premises or facility arrangements.
There is no universal “best”. The better structure is the one that supports your actual market, activity, residency and operating model.
Often the strongest route when the business needs direct local operations, customer-facing premises, UAE contracts, a larger team or activity-specific local licensing.
Direct operating modelSuitable when the company needs to trade and operate directly in the local market, subject to its licensed activity.
Some activities and strategic sectors remain subject to specific ownership or approval rules.
Office, shop, warehouse or activity-specific premises may be required depending on the licence.
Useful when mainland access, premises and team growth are central to the model.
Can be efficient for international or digital businesses, sector-specific ecosystems and founders who value packaged setup options — but the right zone matters.
Ecosystem-led setupParticularly relevant for cross-border work, exports, regional activity and certain online service models.
Free zones are designed for investor ownership, with rules and legal forms set by each authority.
Desk, office, warehouse, visa allocation and sector support differ significantly between authorities.
Useful when the zone ecosystem and package genuinely support the operating model.
Holding, international structuring, regulated activities and non-standard ownership models should not be treated like a normal licence package. They need a case-specific review.
Specialist reviewMay be relevant where the objective is ownership, asset holding or cross-border structuring rather than ordinary UAE operations.
Residency and immigration eligibility must be considered separately for specialist structures.
Financial, legal, health, education and other regulated activities can require additional authority involvement.
We start with the commercial purpose, then verify whether a specialist structure is appropriate.
The exact steps vary by jurisdiction and activity, but the operating logic should stay disciplined.
Define the business model, licensed activity, jurisdiction and likely legal form.
Reserve the trade name and obtain initial or sector approvals where required.
Complete incorporation documents, facility requirements and licence issuance.
Move into establishment, residency and team-related steps where applicable.
Prepare corporate bank documentation and map tax-registration obligations.
Handle renewals, PRO, customs, reporting and ongoing corporate administration.
Choose a checkpoint to see what needs to be considered after the company is formed.
Banking readinessA UAE company does not automatically mean a bank account. Banks conduct their own onboarding, KYC and commercial review, so the setup should produce a credible, consistent business profile.
Residency & teamFounder and employee residency should be planned alongside the licence, especially when visa allocation, premises, role classifications or family sponsorship matter.
Tax & complianceIncorporation and tax compliance are separate workstreams. Corporate Tax and VAT rules can apply after formation, and free-zone tax treatment depends on specific conditions.
Customs & tradeTrading businesses may need customs registration, HS code clarity and a route that matches how goods move between free zones, mainland UAE and international markets.
PRO & administrationThe company continues to generate administrative work after launch: renewals, amendments, employee files, authority requests and changes to ownership or business activity.
For UAE-resident businesses, mandatory VAT registration generally applies when taxable supplies and imports exceed the official threshold, subject to the detailed FTA rules.
The general UAE Corporate Tax regime applies 0% up to AED 375,000 of taxable income and 9% on the portion above that threshold, subject to the law and applicable reliefs.
Qualifying Free Zone Persons can receive specific treatment on qualifying income, but free-zone incorporation by itself does not guarantee a zero-tax outcome.
